The following terms and conditions apply to all services provided by Zogros, in conjunction with any relevant quotation and/or invoice given to the Client by Zogros. Acceptance of a quotation, purchase and/or use of the Services shall be considered acceptance of these Terms.

1. Definitions

For the purposes of these Terms and Conditions:

  • Company – As either “the Company”, “we”, “us”, “our” in this agreement refers to Zogros.
  • Zogros/Us – The Zogros company and any representing consultants.
  • Client – As either “the client”, “you”, “your”, refers to the company or individual requesting the services of Zogros.
  • The Project – A specific set of services/products being delivered to the client.
  • Service – Any goods we provide, develop, deliver to the client.
  • Terms and Conditions – The terms that form this agreement between the client and company regarding any service sold.
  • Website – Refers to Zogros, accessible from https://zogros.com.

2. Agreement To Terms

These Terms and Conditions constitute a legally binding agreement made between the client (‘you”) and Zogros (“us”), concerning your access to and use of the htttps://Zogros.com website and our services. By accepting a service quote provided by us or signing a service contract, you agree that you have read, understood, and agreed to all the conditions in these terms. (If you do not agree with all these terms, then you are expressly prohibited from requesting our services.)
We reserve the right, in our sole discretion, to make changes or modifications to these Terms and Conditions from time to time. We will alert you about any changes by updating the “last updated” date at the top of this document. Please ensure that you read the applicable terms whenever accessing our site so that you understand which terms apply to you specifically.
The Zogros site is intended for users of at least 18 years old.

3. Intellectual Property Rights

Unless otherwise indicated, the Zogros site is our proprietary property, and all source code, databases, functionality, software, web design, graphics, text, trademarks, and logos are owned and controlled by us, and licences ensure protection using copyright and trademark laws. No part of the Zogros site is to be copied, reproduced, aggregated, distributed, sold, licenced, or otherwise exploited for any commercial purpose whatsoever.
Provided that you have accepted a service quotation, or signed a contract with us, you are granted access to download and personally or commercially use any products or digital content which we provide directly to you as part of a service. Only materials directly provided to you by us as part of a service are for your own commercial purposes, however these are also not to be sold as digital products for profit.

4. User Representations

By using the Zogros site, you represent and warrant that; (1) you have the legal capacity and agree to comply with these Terms and Conditions, (2) you are not under the age of 18 years old, (3) you will not access the site through automated or non-human means, whether through a bot, script, or otherwise, (4) you will not use the site for any illegal or unauthorised purpose, and (5) your request of our services will not violate and UK law or regulation.
If you provide any information that is untrue, inaccurate, out of date, or incomplete, we have the right to terminate your contract and refuse any current or future services. In the case of termination of contract, we reserve the right to refuse hand over of any materials, content, or digital products which we have created as a part of your service.

5. Prohibited Activities

As a user of the site or client of Zogros, you agree not to:

  • Copy data from our site to distribute commercially.
  • Re-sell any materials we provide to you as part of a service.
  • Refuse to make final payments after receiving any completed materials or services.
  • Impersonate a Zogros developer or try to sell your products acting on behalf of Zogros
  • Trick, defraud, or mislead us and other users, especially in an attempt to learn sensitive information.
  • Circumvent, disable, or otherwise interfere with security-related features on the site.
  • Disparage, tarnish, or otherwise harm, in our opinion, us and the Zogros company.
  • Make improper use of our support services by submitting false reports or abusing our services.
  • Engage in unauthorised framing of or linking to the site.
  • Upload or transmit viruses, or other harmful acts to potentially damage our site.
  • Copy or adapt the site’s software, including HTML, JavaScript, CSS, React.js.
  • Use the site and request services as part of any effort to compete with us.

6. Cookies

We employ the use of cookies. By accessing Zogros, you agree to use cookies in accordance with the Zogros Privacy Policy (section 7). Most interactive websites use cookies to retrieve user details during each visit. Cookies are used to monitor activity with the site and improve areas of functionality.

7. Privacy Policy

We care about data privacy and security. For the use of an online portfolio, we will ask for written consent to display on our site any services, or materials created for you by us.
We collect and process your name, email address, and phone number when sending an online form on our contact us page. This is to enable us to contact you regarding your query and have your details on file in the event of a service contract being drawn. We do not share your personal details with anyone outside of the Zogros company, and these details will only appear on legal documents such as cost quotations and service contracts for our tax records.
Under the General Data Protection Regulation (GDPR), the lawful bases we rely on for processing your personal details are:

  • Your consent. You can remove your consent for storing personal details at any time. You can do this by contacting [email protected].
  • We have a legal obligation to list personal details of our clients on contracts for tax purposes.

8. Modifications and Interruptions

We reserve the right to change, modify, or remove sections or content on the site at any time at our sole discretion. We cannot guarantee that the site will always be available. We may experience hardware, software, or other problems that need to be fixed, or need to perform maintenance updates, resulting in interruptions or delays.

9. Limitations of Liability

In no event will we be liable to you or any third party for any direct, indirect, consequential, exemplary, incidental, or punitive damages, including lost profit or revenue, arising from your use of our materials, products, or services provided. Our services are designed to improve the digital aspects of your business, we are not liable for any damages resulting from your use of these products.
Our liability to you for any cause whatsoever and regardless of the form of the action, will always be limited to the amount paid, if any, by you to us.

10. Electronic Communications, Transactions, and Signatures

Visiting the site, sending us emails, and completing online forms constitute electronic communications. You consent to receive electronic communications, and you agree that all agreements, notices, disclosures, quotations, and other electronic communications that we provide satisfy any legal requirement to be in writing. You agree to the use of electronic signatures, contracts, orders, and records of transactions initiated by us.

11. Contract Clauses

With regards to our services, we have a set of clauses put in place which you must agree and adhere to when signing a contract for Zogros services:

  • We require partial payment upfront before beginning any work, for all contracts. This initial payment is 100% refundable up to the point of starting work. The start date will be given to you in advance to allow you to cancel before this point. The initial payment is non-refundable after the contract work has begun.
  • In the case of cancelling a contract during the development process, the initial payment and any further payments made up to that point will be non-refundable. However, we will hand over any assets, materials, and products created as part of the service and terminate the contract from that point.
  • Our services are not complete until you are 100% satisfied with our products. We have no limit to the number of changes requested by you during the contract, however ongoing support will require additional payments to be agreed upon.
  • If the scope of work changes during the contract term, additional payments may need to be agreed upon.
  • After completion of a contract with 100% satisfaction from you, you waive all rights to make negative claims against us in the following weeks, months, years, if you have changed your mind about the services you wanted.
  • Initial price quotations may not always be completely accurate due to changes in project scope, requirements, product functionality, or cost hours. These quotations may be subject to change throughout the project; however, we will inform you of any changes to the service cost. These cost changes will need to be accepted by you before we proceed with any further development.
  • Our service costs can be calculated either by a cost per hour basis, total cost of project/service, or a service credit basis. We will discuss all payment options with you in the initial meetings and decide which will be the most suitable option which is least likely to change during the contract term.
  • We offer ongoing support after the end of the contract term for £100 per day for any further changes you wish to make.

12. Governing Law

These Terms and Conditions are governed by and interpreted following the laws of the United Kingdom.
